TERMS & CONDITIONS OF SERVICE SPORTALL Effective Date: 11 March 2026 Last Updated: 1 June 2026 1. Interpretation and Definitions In these Terms & Conditions ("Terms"), unless the context otherwise requires: • "App" means the Sportall mobile application and any related services made available by Sportall. • "Service" means all functionality, features, tools, and content accessible through the App. • "User", "you", or "your" refers to any individual who accesses, registers for, or uses the Service. • "Content" means any text, images, communications, or materials submitted by Users. • "Sportall", "we", "us", or "our" means the legal entity operating the App. These Terms govern your use of the Service and constitute a legally binding agreement between you and Sportall. 2. Acceptance and Modification of Terms By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Service. Sportall reserves the right, at its sole discretion, to amend or update these Terms at any time. Amendments shall become effective upon publication within the App or on our website. Your continued use of the Service following publication of amended Terms constitutes your acceptance of those changes. 3. Eligibility and Legal Capacity The Service is intended solely for individuals who are eighteen (18) years of age or older. By creating an account or using the Service, you represent and warrant that: • You are at least 18 years of age; • You possess the legal capacity to enter into binding agreements; and • Your use of the Service does not violate any applicable laws. Sportall reserves the right to suspend, restrict, or terminate accounts found to be in violation of these eligibility requirements. 4. Account Registration and Security Obligations To access certain features of the Service, you must register an account. You agree to: • Provide accurate, current, and complete information; • Maintain and promptly update your information as necessary; • Safeguard your account credentials; • Accept responsibility for all activities conducted under your account. You are solely responsible for maintaining the confidentiality of your account credentials. Sportall shall not be liable for losses arising from unauthorised access where such access results from your failure to secure your credentials. Sportall reserves the right to suspend or terminate accounts that provide false information or compromise platform integrity. 5. Nature and Scope of the Service Sportall provides a technology platform that enables Users to: • Discover nearby sports activities using foreground location functionality; • Communicate with other Users via messaging; • Share images within chat threads; • Record and submit sports match results, including integration with third-party rating systems; • View non-personalised advertisements. Sportall does not organise, supervise, manage, sponsor, or endorse any sports activity listed on the App. The Service functions solely as a digital intermediary facilitating User discovery and communication and does not create any contractual relationship between Sportall and any User in relation to sports activities. For pickleball, Sportall integrates with DUPR INC. as the exclusive official ratings provider. Match data submitted through the App for rated pickleball sessions will be transmitted to DUPR INC. for rating calculation. Users acknowledge that DUPR INC. operates independently and applies its own terms and rating methodologies. 6. Acceptable Use and User Conduct Users shall use the Service in compliance with applicable laws and these Terms. You agree not to: • Submit unlawful, harmful, threatening, defamatory, obscene, or discriminatory Content; • Harass, stalk, intimidate, or exploit other Users; • Upload malicious software or attempt to disrupt system functionality; • Impersonate any individual or entity; • Use the Service for unauthorised commercial solicitation; • Circumvent security features or reverse engineer the App; • Manipulate, falsify, or sandbag sports match results, scores, or rating data, including deliberate under-performance to artificially lower a rating; • Submit fabricated or collusive match results to any integrated rating system, including DUPR. Sportall reserves the right to investigate suspected violations and take enforcement action, including suspension or permanent termination. 7. User-Generated Content and Licence Users retain ownership of Content submitted to the Service. By submitting Content, you grant Sportall a worldwide, non-exclusive, royalty-free, transferable licence to use, host, store, reproduce, display, and process such Content solely for: • Operating and maintaining the Service; • Enforcing community standards; • Complying with legal obligations. You represent and warrant that you have the necessary rights to submit such Content and that it does not infringe third-party rights. Sportall reserves the right to remove or restrict Content at its discretion. 8. Moderation and Enforcement Authority Sportall may monitor, review, or moderate user activity to maintain safety and compliance. We may, at our sole discretion: • Suspend or permanently terminate accounts; • Remove Content; • Restrict access to features; • Report unlawful activity to authorities. Moderation decisions may be taken without prior notice where reasonably necessary to protect Users or the integrity of the Service. 9. Location-Based Features Disclaimer Location functionality relies on data provided by your device. Sportall does not guarantee the accuracy, reliability, or availability of location-based listings. Users remain solely responsible for independently verifying activity details and exercising reasonable judgment before participating. 10. Assumption of Risk and Release Participation in sports activities involves inherent risks, including risk of injury. By using the Service, you acknowledge and voluntarily assume all risks associated with participation in any activity discovered through the App. To the fullest extent permitted by applicable law, you irrevocably release and discharge Sportall, its officers, employees, affiliates, and service providers from all claims, demands, damages, or liabilities arising out of participation in such activities, except where liability cannot be lawfully excluded. 11. Advertisements and Third-Party Content The Service may display advertisements or third-party content. Sportall does not endorse or guarantee third-party products, services, or representations. Any dealings between you and third parties are solely between you and such third parties. Sportall shall not be liable for disputes arising from such interactions. 12. Intellectual Property Rights All intellectual property rights in the Service are owned by or licensed to Sportall. You are granted a limited, non-exclusive, revocable licence to use the Service for personal, non-commercial purposes. You may not copy, distribute, modify, perform reverse engineering, or exploit the Service without written consent. 13. Disclaimer of Warranties The Service is provided on an "as is" and "as available" basis. Sportall disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by applicable law. Sportall does not warrant uninterrupted, secure, or error-free operation. 14. Limitation of Liability To the fullest extent permitted by law, Sportall and its respective officers, shareholders, affiliates, employees, and service providers shall not be liable for: • Indirect, incidental, special, punitive, or consequential damages; • Loss of profits, data, or goodwill; • Personal injury arising from participation in activities; • User-generated Content. Where no payment has been made by you, Sportall's total aggregate liability shall not exceed RM500 or the minimum amount permitted by applicable law, whichever is lower. In all other cases, liability shall not exceed the amount paid by you in the preceding twelve (12) months. 15. Indemnification You agree to indemnify, defend, and hold harmless Sportall and its affiliates from all claims, damages, liabilities, and expenses arising from: • Your use of the Service; • Breach of these Terms; • Violation of law; • Content submitted by you. 16. No Agency, Partnership, or Fiduciary Relationship Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, agency, fiduciary, franchise, or representative relationship between you and Sportall. You acknowledge and agree that: • You are acting solely as an independent user of the Service; • Sportall does not act as your agent, intermediary, broker, organiser, or representative in relation to any sports activity or user interaction; • Sportall does not supervise, manage, or control user-organised activities; • You have no authority to bind, obligate, or represent Sportall in any manner whatsoever. 17. Assignment and Transfer of Rights You may not assign, transfer, delegate, sublicense, or otherwise dispose of any rights or obligations under these Terms without the prior written consent of Sportall. Sportall may assign or transfer its rights and obligations under these Terms at its sole discretion. 18. Entire Agreement and Integration These Terms, together with the Privacy Policy and any policies incorporated by reference, constitute the entire and exclusive agreement between you and Sportall concerning the Service. 19. Severability and Interpretation If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed to the minimum extent necessary. The remaining provisions shall remain valid and enforceable. 20. Force Majeure Sportall shall not be liable for any delay or failure to perform its obligations where such delay or failure results from causes beyond its reasonable control, including natural disasters, pandemics, governmental actions, infrastructure failures, or cyberattacks. 21. Waiver and Remedies No failure or delay by Sportall in exercising any right, power, or remedy shall operate as a waiver of that right. Any waiver must be expressly stated in writing and signed by an authorised representative of Sportall. 22. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia. 23. Data Protection Compliance Sportall processes personal data in accordance with the PDPA. We have appointed a Data Protection Officer (DPO) to oversee our privacy practices. You may contact our DPO at general@sportall.my. 25. Data Breach Notification In the event of a personal data breach that is likely to cause significant harm, Sportall will notify the Personal Data Protection Commissioner and affected individuals as soon as practicable, in accordance with mandatory legal requirements. 26. DUPR Rating Integration — Pickleball 26.1 Sportall has entered into a partnership with DUPR INC. to provide official pickleball ratings through the App. By participating in rated pickleball matches through the Service, you acknowledge and agree that: a. You must hold a valid registered DUPR account prior to the submission of any rated match data. Sportall reserves the right to withhold match submission until a valid DUPR account is confirmed; b. Your match result data (including scores, player identifiers, and game outcomes) will be submitted to DUPR INC. for official rating calculation; c. DUPR INC. operates independently and applies its own rating methodologies, terms of service, and enforcement policies, for which Sportall bears no responsibility; d. Sportall will display the DUPR rating as the official pickleball rating within the App and will not operate a competing pickleball rating system during the term of the DUPR partnership. 26.2 Anti-Cheating and Rating Integrity. Sportall is contractually obligated to DUPR INC. to prevent rating manipulation. By using the Service for pickleball, you agree that: a. You will not engage in sandbagging, match collusion, score falsification, or any conduct intended to artificially inflate or deflate a DUPR rating; b. You will not create multiple accounts or use third-party accounts to circumvent rating restrictions; c. Sportall reserves the right to suspend, restrict, or permanently terminate your access to rated pickleball features, and to report misconduct to DUPR INC., where evidence of rating manipulation is found; d. DUPR INC. independently reserves the right to suspend or revoke rating access pursuant to its own terms. 26.3 Promotional Communications. If you opt-in to DUPR promotional communications within the App, you consent to your registered email address being shared with DUPR INC. on a quarterly basis solely for that purpose. This consent is separate from your Sportall account and may be withdrawn at any time through the App's settings.
